Assisting in handling all corporate secretarial matters for various clients including incorporation of companies and LLPs, buy back, ESOP, striking off, etc. Preparing minutes and other necessary documents for Board meetings, AGM, EGM, board resolutions, Statutory registers etc. for retainer clients Routine ROC and RBI filings including annual filing of various companies and LLPs Assisting the team in all kinds of corporate restructuring matters- merger, demerger, capital reduction, conversion of companies to LLP, LLP/partnership conversion to company etc. Support and assist in corporate due diligence Conducting ROC search as and when required Assisting in preparation of documents required for Transaction closing Research on company law, FEMA and other allied acts
Job Description
- Undertaking all secretarial activities for clients including
- Maintaining the client’s statutory registers;
- organizing the client’s board meetings and annual general meeting
- ensuring company compliance with legal obligations for all the clients;
- liaison between the company and its shareholders / directors for execution of company secretarial documents and meetings (board and shareholders)
- to handle certification services, if any;
- to sign annual returns;
- Drafting Agenda and Minutes of Board and Committee Meetings
- Conducting General Meeting and preparation of Minute
